Terms of Use & EULA

By downloading, accessing, or using the Vexli mobile application (the "App") or any related services (collectively, the "Services"), you agree to be bound by these Terms of Use and End User License Agreement ("Terms"). If you do not agree to these Terms, you must not access or use the App.

You confirm that you have also read our Privacy Policy, which is incorporated into these Terms by reference.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account or use the Services. By using the App you represent and warrant that you meet this requirement and that the information you provide is accurate and complete.

• User — any person who uses the App to browse properties, save favorites, message agents, schedule tours, or otherwise use the Services.
• Agent — a User who registers a real estate professional account to create and manage property listings, view analytics, and communicate with Users. Agent accounts require an active subscription.
• Guest — a person using the App in anonymous mode with limited functionality, without a registered account.
• Content — any information, text, images, videos, property listings, messages, reviews, ratings, or other material submitted, posted, or transmitted through the Services.

Vexli is a real estate discovery and lead-generation platform. The Services include, among others: browsing property listings on an interactive map, searching and filtering properties, saving favorites and searches, messaging Agents, scheduling property tours, rating and reviewing properties, and—for Agents—creating and managing listings, viewing analytics, and managing leads and a referral program.

We may add, modify, or remove features at any time without liability to you.

To access most features you must create an account. You may register using email and password, Google Sign-In, or Apple authentication. Email registrations may require email confirmation and human-verification (hCaptcha).

You are responsible for:

• Providing accurate, current, and complete information;
• Maintaining the confidentiality of your login credentials;
• All activity that occurs under your account.

Notify us immediately of any unauthorized use of your account. We are not liable for losses arising from your failure to safeguard your credentials.

If you register as an Agent, you must provide professional information, which may include your license number, brokerage name, years of experience, and specialization. By registering as an Agent you represent and warrant that:

• You are a duly licensed real estate professional (or otherwise legally authorized to market the properties you list) in the applicable jurisdiction;
• All licensing and brokerage information you provide is true and current;
• You have the rights and authorizations necessary to list each property and to use all images, videos, and materials you upload;
• Your listings and conduct comply with all applicable real estate, advertising, fair-housing, and consumer-protection laws.

You are solely responsible for your listings and your interactions with Users. Vexli is not a real estate broker, agent, or party to any transaction between Users and Agents.

Subject to your compliance with these Terms, Vexli grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the App on a device that you own or control, solely for your personal and—where applicable—internal professional use. This is a license, not a transfer of title. You may not copy, modify, distribute, sell, lease, reverse-engineer, or attempt to extract the source code of the App except where such restriction is prohibited by law.

Certain features—primarily Agent features such as unlimited listings, lead management, and advanced analytics—require a paid auto-renewable subscription. Subscriptions are offered through and processed by the Apple App Store (via our payments provider, RevenueCat).

• Plans. We offer subscription tiers (which may include a trial, "Pro", and "Ultimate" tier). The title, length, price, and content of each plan are presented in the App at the point of purchase.
• Free trial. Any free trial is available only to eligible new users. If you do not cancel before the trial ends, it converts to a paid subscription.
• Auto-renewal. Subscriptions automatically renew for the same period and price unless canceled at least 24 hours before the end of the current period.
• Payment & management. Payment is charged to your Apple ID account at confirmation of purchase. You manage and cancel your subscription in your App Store account settings; deleting the App does not cancel a subscription.
• Refunds. Purchases are handled by Apple and are subject to Apple's refund policies; we generally cannot issue refunds directly.

Vexli is an informational platform. We do not verify, guarantee, or warrant the accuracy, completeness, legality, availability, pricing, or timeliness of any listing, property description, image, MLS number, or other Content. Listings are provided by Agents and other third parties.

Nothing in the App constitutes real estate, financial, legal, or investment advice, or an offer or solicitation to buy or sell any property. You should independently verify all information and consult qualified professionals before making any decision. Tour requests, availability, and scheduling are not guaranteed and depend on the relevant Agent.

You retain ownership of Content you submit. By submitting Content, you grant Vexli a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, and distribute that Content solely to operate, provide, and promote the Services.

You represent and warrant that you own or have the necessary rights to your Content and that it does not infringe any third party's rights or violate any law.

Vexli has zero tolerance for objectionable content or abusive behavior. You agree not to post, upload, or transmit Content that is unlawful, fraudulent, misleading, harassing, defamatory, hateful, discriminatory (including violations of fair-housing laws), sexually explicit, violent, or otherwise objectionable.

To keep the community safe:

• Users can flag objectionable content (properties, messages, or users) and block abusive users;
• We review reported Content and will remove objectionable Content and may suspend or terminate the responsible account within 24 hours of a confirmed report;
• We may remove any Content or restrict any account at our discretion, with or without notice.

You agree not to:

• Use the Services for any unlawful purpose or in violation of these Terms;
• Post false, misleading, or fraudulent listings or information;
• Impersonate any person or misrepresent your affiliation or licensing;
• Harass, threaten, or abuse other Users or Agents;
• Scrape, harvest, or collect data from the Services without authorization;
• Interfere with, disrupt, or attempt to gain unauthorized access to the Services or their security;
• Circumvent subscription, payment, or access controls.

The App lets Users and Agents exchange messages and schedule tours. You are responsible for your communications and must keep them lawful and respectful. Do not share others' personal information without consent. We may access, retain, and disclose communications as needed to operate the Services, enforce these Terms, or comply with law.

Agents may receive a unique referral code and share it with others, which may unlock promotional discounts (e.g., a percentage discount). Referral benefits are promotional, may change or end at any time, have no cash value, and may not be abused, resold, or obtained through fraud. We may revoke benefits obtained in violation of these Terms.

The Services rely on third-party providers, including Google Maps and Google Places (mapping and address search), Google and Apple (authentication), RevenueCat and the Apple App Store (subscriptions), OneSignal (push notifications), hCaptcha (bot prevention), Sentry (error reporting), and Supabase (backend and authentication). Your use of these features may be subject to the third parties' own terms and privacy policies. We are not responsible for third-party services.

The App, including its software, design, trademarks, logos, and content (excluding User-Generated Content), is owned by Vexli Investment Network America LLC or its licensors and is protected by intellectual-property laws. Except for the limited license in Section 7, no rights are granted to you.

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

The following applies if you download the App from the Apple App Store:

1. These Terms are concluded between you and Vexli only, and not with Apple. Apple is not responsible for the App or its content.
2. Apple has no obligation to furnish any maintenance or support for the App.
3. Apple is not responsible for any product warranties, whether express or implied. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation regarding the App.
4. Apple is not responsible for addressing any claims by you or a third party relating to the App, including product-liability, regulatory, or intellectual-property claims.
5. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
6. You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist supporting," and that you are not on any U.S. Government list of prohibited or restricted parties.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEXLI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY LISTING OR INFORMATION IS ACCURATE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEXLI AND ITS SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD $100, WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless Vexli Investment Network America LLC and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your Content, your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

We may suspend or terminate your access to the Services at any time, with or without notice, for any violation of these Terms or for any other reason. You may stop using the Services and request deletion of your account at any time through the App. Upon deletion, your profile is deactivated and removed from public visibility; certain information may be retained as required by law or for legitimate business purposes. Sections that by their nature should survive termination (including Sections 9, 10, 16, 19, 20, and 21) will survive.

We may modify these Terms from time to time. Material changes will be reflected by updating the "Last updated" date and, where appropriate, by notice in the App. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by and construed in accordance with the laws of the United States and the State in which Vexli Investment Network America LLC is organized, without regard to conflict-of-laws principles. You agree to submit to the exclusive jurisdiction of the courts located there, except where prohibited by applicable law.
